Terms of Service

These Terms of Service (“Terms”) are a contract between you and Vantage Technology Group Ltd, trading as Jotifi (“Jotifi”, “we”, “us” or “our”). They govern your use of our applications, websites and related services (together, the “Service”). Please read them carefully.
You accept these Terms by selecting the unticked acceptance control shown after authentication and choosing “Agree and continue”. Authentication or account creation may complete before you are asked to accept. If you do not accept, you may not access or continue using the Service.
Our Privacy Policy explains how we handle personal information. It is a separate privacy notice and does not form part of these Terms.
1. User Content
“User Content” means any text, files, images or other material that you create, upload, import, store or share through the Service. You retain all rights that you hold in your User Content. Jotifi does not claim ownership of it.
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, back up and otherwise process your User Content only as needed to provide and support the Service, follow your instructions, enable the sharing choices you make and comply with law. We may allow service providers acting for us to do the same for those purposes.
You are responsible for your User Content. You confirm that you have the rights and permissions needed to use and share it through the Service and that doing so will not infringe another person's rights or break the law.
You may delete your User Content using the features provided by the Service. Copies may remain for a limited period in backups or where retention is required by law.
2. Shared Areas
The Service may allow User Content to be kept private or shared with people you choose. If you share User Content or invite someone to a shared area, you allow them to access and use it according to the permissions you select. Check the recipients and permissions before sharing confidential information.
A person or organisation that controls a shared area may be able to change access, remove participants, or modify or delete shared User Content. Their own policies may also apply. Revoking access does not retrieve copies that someone made while they had permission to access the material.
3. Subscriptions
Some features require a paid subscription. The price, billing period, included features, taxes and renewal terms will be shown before you subscribe. Unless you cancel, your subscription renews automatically at the end of each billing period and the applicable charge will be taken using your selected payment method.
You may cancel renewal at any time through the subscription settings shown in the Service. A subscription purchased through an application store must be managed through that store. Cancellation normally takes effect at the end of the current paid period.
4. Free Trials
We may offer a free trial. Its length and any additional terms will be shown when you enrol. If the trial will convert to a paid subscription, we will show you the price and first charge date beforehand. Cancel before that date if you do not want the paid subscription. We may change or withdraw a trial offer at any time before you enrol.
5. Fee Changes
We may change subscription fees. A change will not affect a billing period that you have already paid for. We or the relevant application store will give reasonable notice before a higher price applies to a renewal, and you may cancel before that renewal.
6. Cancellations and Refunds
Except where required by applicable law or stated at the time of purchase, fees already paid are not refundable. If you purchased through an application store, refund requests are handled under that store's process. Nothing in these Terms limits any cancellation, refund or other consumer right that the law does not allow us to limit.
7. Payments
Payments may be processed by us, an application store or another payment provider. Their payment terms also apply to the transaction. You authorise the relevant provider to charge the price and taxes shown at checkout. If payment is overdue or reversed, we may suspend paid features or move the account to a free plan after a reasonable opportunity to resolve the issue where appropriate.
8. Accounts
You must provide accurate account information and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials, encryption password and recovery information.
You agree to accept responsibility for any and all activities or actions that occur under your account or password, except to the extent Jotifi caused those activities or actions. You must notify us immediately at support@jotifi.com upon becoming aware of any breach of security or unauthorised use of your account.
You may not use as a username the name of another person or entity that is not lawfully available for use, or a name or trade mark that is subject to the rights of another person or entity, without appropriate authorisation. You may not use as a username any name that is offensive, vulgar or obscene.
You must be at least 13 years old to use the Service, or older if the law where you live requires it. If you are under 18, you must have any permission required from a parent or legal guardian. If you accept these Terms for an organisation, you confirm that you have authority to bind it.
9. Encryption and Recovery
Supported User Content is encrypted on your device before synchronisation and is stored by us in encrypted form. Both security modes use the same encryption; they differ in how access is restored. Standard Protection lets authenticated devices unlock your content through your account. Enhanced Security uses a separate password or recovery key, and we cannot recover your content if both are lost.
10. Copyright Policy
Jotifi respects the intellectual property rights of others. If you believe that material made available through the Service infringes your rights, email support@jotifi.com and identify the protected work, the material concerned and where it appears, your contact details, and your authority to act for the rights holder. We will respond as required by applicable law.
11. Restrictions on Use
You must not:
- use the Service unlawfully or for a fraudulent, harmful, harassing or disruptive purpose
- use or share User Content that infringes another person's intellectual property, privacy, confidentiality or other rights
- gain unauthorised access to the Service, another account or a connected system, or circumvent a security measure or access restriction
- interfere with or damage the Service, introduce malicious code, send spam, or collect personal information without permission
- copy, modify, reverse engineer, scrape, resell or commercially exploit the Service, except where permitted by law or authorised by us in writing
You must not attempt to do any of these things or help another person to do so.
12. Intellectual Property
The Service and all material supplied by us, other than User Content, belong to us or our licensors and are protected by intellectual property law. While these Terms are in effect, we grant you a limited, non-exclusive, non-transferable and non-sublicensable right to use the Service for your personal use or your organisation's internal business purposes. We reserve all other rights.
13. Feedback
If you choose to send us ideas or suggestions about the Service, you allow us to use them without restriction or payment to you. Feedback does not include User Content merely because you send it with a support request.
14. Third-Party Services
The Service may link to or work with services that we do not control. If you choose to use one, its own terms and privacy information apply. We are not responsible for the availability, content or independent actions of a third-party service.
15. Termination
You may stop using the Service at any time and may delete your account using the in-app process or our account deletion instructions. Deleting an account does not cancel a subscription billed by an application store; you must cancel that subscription through the store.
We may suspend or close an account if you breach these Terms, fail to pay fees when due, create a security risk, or if we are required to do so by law. We may also change or discontinue the Service. Where reasonably possible, we will give notice and an opportunity to export your User Content before closing an account or the Service, unless the law or an urgent security issue prevents us from doing so.
When these Terms end, your right to use the Service ends. Provisions which by their nature should continue will remain in effect, including those concerning ownership, payment obligations, liability and disputes.
16. Indemnification
If you use the Service for a business, you will indemnify us against third-party claims and reasonable resulting losses arising from your unlawful use of the Service, your breach of section 11, or User Content supplied by you that infringes a third party's rights. This section does not apply to consumers.
17. Warranties and Liability
If you use the Service for a business, the Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we exclude warranties and conditions not stated in these Terms. We do not warrant that the Service will meet all of your requirements or be uninterrupted, secure or error-free. To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, contracts, anticipated savings, goodwill, use or data, arising from use of, or inability to use, the Service.
18. Exclusions
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of a statutory right that cannot be excluded, or any other liability which the law does not allow us to exclude or limit. Only lawful exclusions and limitations apply to you.
19. Governing Law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, except that if you are a consumer you may also benefit from mandatory laws and bring proceedings in the courts available to you where you live.
20. Waiver
If we do not enforce a provision of these Terms, that does not waive our right to enforce it later.
21. Changes to these Terms
We may update these Terms as the Service, technology or legal requirements change. We will publish the new version here and give reasonable notice of material changes where practicable. A material revision becomes binding when you accept it through the acceptance screen, and we will record the version and time of your acceptance. If you do not accept the revised Terms, you may stop using the Service, cancel your subscription and delete your account.
22. Entire Agreement
These Terms and any additional terms expressly agreed for a particular feature or purchase are the entire agreement between you and us concerning the Service and replace earlier agreements on that subject. If any provision is unenforceable, the remaining provisions will continue in effect. You may not transfer these Terms without our written consent. We may transfer them as part of a reorganisation or transfer of our business, provided that this does not reduce a consumer's mandatory rights.
